The purpose of the Foreign Corrupt Practices Act (FCPA) course is to educate students about the purpose of the FCPA, the Provisions that are contained within this Act, and the potential consequences and punishments of violators, among other topics. After successfully completing this course, students should possess a working knowledge of the FCPA and be able to explain various aspects of this Act.
The first lesson in this course, A Basic Overview of the FCPA, aims to give students an encompassing general idea of the FCPA, including a historical background and the purpose of this Act. While in this first lesson, students will also learn about the Provisions contained within this Act and the potential consequences and punishments of those who violate the laws contained. The basic overview will also include information concerning who is accountable within the Act and an explanation of the term “foreign official.”
In the second portion of the FCPA course, FCPA: Anti-bribery and Accounting Provisions, students will learn the differences between legitimate giving versus bribery, and what defines a payment. The aim of this lesson is to have students understand what bribery is, and who is responsible for adhering to the FCPA policies. This lesson will also discuss issuers, the accounting provision, and liabilities. The added regulations by the Sarbanes-Oxley Act of 2002 will also be explored.
The final lesson included in this course is the FCPA Prevention and Proactive Compliance Measures. This lesson serves as a guide to show students how to watch for violations and reduce risk of breaking the FCPA provisions. Students will explore past penalties and violations in order to understand what may qualify as a risk to a business. This lesson will also provide the steps to create a Proactive compliance plan that should serve as a preventative measure. By the end of this course, students should understand the reasons the FCPA exists, the acts that serve as a violation of this Act, and the preventative measures that may be taken to reduce risk of violation.
